Process for Registration of a Limited Liability Partnership (LLP)

Step 1- Obtaining Digital Signature Certificate (DSC) of the Designated Partners – Each prospective Designated Partner and Partner must obtain a Digital Signature Certificate (DSC).

Step 2- Name application for Limited Liability Partnership (LLP) with MCA – An application for a LLP name must be submitted to the Ministry of Corporate Affairs (MCA). The proposed LLP name must be unique. The unique name must be reflect the nature of business. At the end unique name end with LLP or Limited Liability Partnership. The name must comply with the rules and guidelines provided by the Ministry of Corporate Affairs (MCA). The approved LLP name is valid for three months from the date of approval. If the proposed LLP is not formed within that time frame, the name will lapse and become available to another applicant/LLP.

Step 3-Incorporation documents – After name approval of the LLP, all the documents and details regarding registered office, designated Partners shall be filed through online forms (fillips Form) with the payment of government fees.

Step 4- Government approval – If Ministry of Corporate Affairs (MCA) finds all the documents and information complete and acceptable, the MCA approve the forms and issue Certificate of Incorporation with Pan card and Tan allotment letter. Certificate of Incorporation is conclusive evidence of registration.

Step 5 LLP Agreement– Once a LLP is established in Pune. A LLP deed or LLP agreement must be prepared. Stamp duty will be paid based on the LLP’s capital contribution. The amount of stamp paper is determined by state laws. Stamp duty on LLP agreement is different for each state in India. Following the signing of the LLP agreement, the agreement must be filed with the Ministry of Corporate Affairs (MCA). A LLP agreement is a critical document that outlines the rights and duties of partners, profit-sharing ratios, and other terms. It is recommended to have a well-drafted LLP agreement to avoid future disputes. Step 6- Opening of Current Account – Once a LLP is registered in India. The LLP must submit all the required documents and apply for a current account with any banks.
